End User License Agreement (EULA)

This End User License Agreement (EULA) governs the use of the Trace software (“Software”).
1) Parties

User: You as a natural person or legal entity (“you”).
2) Scope and Acceptance
By installing, launching, or using the Software, you agree to this EULA. If you do not agree, do not install or use the Software.
3) License (Right of Use)
3.1 Grant of License
You are granted a non-exclusive, non-transferable, revocable license to install and use the Software in accordance with the license type specified at purchase.
3.2 Scope / Activations
Scope, number of activations/devices, and any time limits are defined by the product description during checkout or in license management.
3.3 Restrictions
You must not:
- sell, rent, sublicense, or redistribute the Software (unless mandatory law permits it),
- reverse engineer, decompile, or disassemble the Software, except where mandatory law expressly permits it,
- bypass or remove technical protection measures,
- use the Software for unauthorized interference with third-party systems or data.
4) License Key and Online Validation
4.1 Activation
The Software may use a license key and activations. An internet connection may be required for activation/validation.
4.2 Third Parties
Third parties may be used for checkout, license management, and payment processing. Their terms may apply in addition.
5) Updates and Upgrades
5.1 Updates (within the version)
We may provide updates (bug fixes, security updates, improvements). There is no entitlement to specific updates or for a specific period unless explicitly promised.
5.2 Upgrades / New Major Versions (e.g. “Trace 2”)
A new major version or a new product may be offered as a separate upgrade and may require a new purchase or a separate license. Purchasing a license for the current Software version does not, unless explicitly stated, entitle you to free upgrades to future major versions.
5.3 Continued Use
If you have purchased a license, you may generally continue to use the licensed version indefinitely. The fact that updates may end at some point does not change this; it only means that no further updates will be provided.
6) System Access, Permissions, and Helper
For certain features, Trace may require additional macOS permissions (e.g. Full Disk Access) or a privileged helper (e.g. for system-wide actions). You decide whether to grant these permissions. Without these permissions, the Software may be limited in functionality.
7) Important Notice About Data Loss and Backups
Depending on your selection and mode, Trace can delete or move files. This can lead to irreversible data loss. You are responsible for:
- reviewing previews/warnings,
- selecting the items to be deleted,
- making regular backups (e.g. Time Machine or another backup system).
8) Warranty
To the extent permitted by law, the Software is provided “as is”. We make no warranty that the Software is error-free or meets your specific requirements.
Mandatory statutory warranty rights remain unaffected.
9) Liability
9.1 General
We are liable only as set out in this EULA and to the extent permitted by law.
9.2 No Limitation for Intent / Gross Negligence
Nothing in this EULA excludes or limits our liability for intentional misconduct or gross negligence where mandatory law prohibits such limitation.
9.3 Liability for Slight Negligence
In cases of slight negligence, we are liable—where permitted by law—only for the breach of material contractual obligations and limited to the damage that is typically foreseeable. Any further liability is excluded.
9.4 Exclusion of Indirect Damages
To the extent permitted by law, we are not liable for indirect or consequential damages (e.g. lost profits, business interruption, loss of data), in particular if you delete without a current backup or perform risky actions.
9.5 Mandatory Rights
Mandatory statutory claims (e.g. under product liability, consumer protection, or in cases of personal injury/death, where applicable) remain unaffected.
10) Termination
This EULA applies as long as you use the Software. We may terminate the license in the event of material breaches of this EULA. Upon termination, you must stop using and uninstall the Software.
11) Governing Law and Jurisdiction
To the extent permitted, Swiss law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Mandatory consumer protection rules of your country of residence remain unaffected. Place of jurisdiction is, to the extent permitted, the provider’s seat in Switzerland.
12) Final Provisions
If any provision of this EULA is or becomes invalid in whole or in part, the remaining provisions remain effective. The invalid provision will be replaced by a valid provision that comes closest to the economic purpose.
